About Tong
Tong Shen has nearly 20 years of experience specializing in pre-deal diligence, sign-to-close planning and post-merger integration and separation from a human capital perspective. Mr. Shen has human resources (“HR”) expertise in buy-side, sell-side, corporate and private equity (“PE”) deals, which range from leading small U.S.-centric deals to billion-dollar complex global deals. He has industry expertise across the financial services, telecom, media, technology, healthcare, energy and retail sectors.
Mr. Shen specializes in helping clients understand and address the human capital issues that emerge during a deal — benefits, compensation, human resources information system (“HRIS”), payroll and talent acquisition — as well as advising the HR function and strategy.
Mr. Shen is an expert in transition service agreements, both in drafting and negotiating the optimal design. He has worked with strategic and private equity buyers and sellers and understands the unique considerations needed for successful separations.
Mr. Shen supports clients in various costs exercises, such as estimating stand-alone costs, identifying synergy targets and developing transition service agreement (“TSA”) costs.
Relevant Experience:
- Integrated HR operations of two separate businesses comprised of more than 1,800 employees across 25 countries with the buyer as part of an estimated $1.2 billion acquisition
- Helped a private equity investor stand up a fintech carve-out’s HR function in eight countries by applying expertise in HR subjects such as total rewards, HR service delivery, organization and talent development
- Stood up a carve-out of a global HR operation in a tight sign-to-close period with a complex employee transfer strategy which included establishing buyer solutions, selecting and onboarding professional employer organization (“PEO”) and global employment organization (“GEO”)
- Managed the HR separation process for a strategic seller, including separation mapping, planning, execution and detailed support around transition service agreement negotiation
- Led HR function integration during an acquisition while realizing synergies of $18 million
